By participating in the BookIt Affiliate Program (“Program”), you (“Affiliate” or “Distributor”) agree to be bound by the following Terms and Conditions. These Terms form a legally binding agreement between you and BookIt ANZ Ltd (NZBN: 9429052383021) (“BookIt”).
BookIt agrees to:
Provide, operate, and maintain the Booking Engine for use on approved Affiliate platforms;
Manage all bookings, payment processing, customer communications, and refund handling in accordance with BookIt’s Booking Terms;
Collect total commissions and remit the Affiliate’s agreed commission share in accordance with Clause 3.
The Affiliate agrees to:
Properly implement and maintain BookIt’s booking tools (widgets, deep links, etc.) on approved websites or digital assets;
Ensure all displayed content and provider information remains accurate, up to date, and not misleading;
Provide BookIt with any required access or technical credentials (e.g., APIs) necessary for integration;
Permit BookIt to use the Affiliate’s name and logo in agreed marketing and branding activities, subject to prior written approval.
All bookings made through the Affiliate’s platform will be managed solely by BookIt.
BookIt is the merchant of record and will handle all booking operations, payments, provider coordination, and refund requests.
The Affiliate acknowledges BookIt does not operate or deliver the services booked and is not liable for the offerings provided.
BookIt will issue a Recipient Created Tax Invoice (RCTI) each month showing completed bookings and the Affiliate’s commission share.
Payments will be made within 28 days of the invoice date to the bank account provided by the Affiliate.
The Affiliate must maintain valid GST registration (if applicable) and provide accurate payment details.
The Affiliate agrees to pay an annual hosting fee, invoiced on commencement and on each anniversary.
BookIt may adjust this fee with at least 45 days’ prior notice before the renewal period.
Each party agrees to comply with all applicable New Zealand Privacy Laws, including the Privacy Act 2020.
The Affiliate must immediately report any suspected data breach involving personal information to BookIt and assist with assessment or disclosure obligations.
BookIt will not send direct marketing communications to users acquired solely through the Affiliate’s platform, unless those users are also independently BookIt customers.
This does not prevent BookIt from marketing to its own user base or shared customers with proper consent.
Each party retains its own intellectual property.
A non-exclusive, revocable license is granted to use each other’s name and branding strictly for the purposes of the Program, subject to approval.
Intellectual property developed by BookIt in connection with the Program remains the sole property of BookIt.
Either party may terminate its participation with written notice.
BookIt may suspend or terminate access immediately for material breach or misuse by the Affiliate.
Key obligations (e.g., confidentiality, data protection, indemnity, and IP) will survive termination.
These Terms are governed by the laws of New Zealand.
By participating in the Program, you confirm that you have read, understood, and agree to be legally bound by these Terms & Conditions.
